General Terms and Conditions of Sale (GTCS) – MAPSEC / EQUILOG

1. Object

These General Terms and Conditions of Sale (GTCS) govern the sale of software licenses EQUILOG, as well as the sale of associated equipment (tablets, sensors, accessories) and additional services (support, maintenance, training) offered by MAPSEC SARL, 80 rue de Paris – 93100 Montreuil.

2. Orders

Any order placed implies the buyer's full and unreserved acceptance of these General Terms and Conditions of Sale.
MAPSEC reserves the right to refuse an order in case of a previous payment dispute or unavailability of the product.

3. Price and Payment Terms

  • Les prix sont exprimés en euros before VAT, VAT included.

  • Payment is due in full upon ordering, unless otherwise agreed in writing.

  • Any late payment will incur late payment interest equivalent to 3 times the statutory interest rate, as well as a flat-rate recovery fee of €40.

4. Delivery

  • The materials are delivered to the address indicated by the customer, by carrier or by hand.

  • Delivery times are for guidance only. MAPSEC cannot be held responsible for delays attributable to the carrier.

5. Rights of use – Licences

  • The licence for the EQUILOG software is granted on a non-exclusive and non-transferable.

  • The buyer undertakes to comply with the number of users defined in the chosen offer (single-user, multi-user).

  • Any unauthorised reproduction, modification or dissemination is strictly prohibited.

6. Maintenance and support

  • The licences include corrective updates for the duration of use.

  • Technical support may be offered depending on the chosen packages.

  • Major developments may be the subject of a supplementary contract.

7. Warranties

  • The equipment is guaranteed against any manufacturing defect for a period of 12 months from the date of delivery.

  • The software is provided "as is". MAPSEC guarantees its proper functioning but cannot be held responsible for any non-compliant use.

8. Withdrawal and termination

  • In case of sale to consumer (B2C), a legal deadline of 14 days The right of withdrawal applies to distance sales, except for immediate activation of the software licence.

  • For sales B2B (for professionals), no right of withdrawal applies.

  • In the event of non-compliance with these T&Cs, MAPSEC may terminate the licence without notice or compensation.

9. Responsibilities

MAPSEC shall not be held liable for indirect damages, loss of profits or loss of data.
In any event, its liability is limited to the amount of the order.

10. Force majeure

MAPSEC shall not be held liable in cases of force majeure (natural disaster, pandemic, strike, widespread internet outage, etc.).

11. Intellectual Property

The EQUILOG software, its source code, its documentation, its logos and visual supports are the exclusive property of MAPSEC.
Any non-conforming use will result in prosecution.

12. Personal data

The data collected is used solely for order management and the commercial relationship, in accordance with the GDPR.
The customer has the right to access, rectify, and delete.

13. Applicable Law – Disputes

 

These General Terms and Conditions are subject to French law.
In the event of a dispute, exclusive jurisdiction is assigned to the courts of Bobigny (93).
