End User Licence Agreement (EULA) – EQUILOG Software

Preamble

This End User Licence Agreement (EULA) constitutes an agreement between the user (hereinafter «the User») and MAPSEC (hereinafter «the Publisher»), the company that publishes the EQUILOG software.

By installing, copying or using the EQUILOG software, the User acknowledges having read, understood and agreed to be bound by the terms of this EULA. In case of disagreement, the User must immediately stop using the software and delete any copies in their possession.

1. Licensing

MAPSEC grants the User a non-exclusive, non-transferable, and revocable licence to use the EQUILOG software for their internal and professional needs.

1.2 Downloading and installing the EQUILOG software is free of charge. However, certain advanced functionalities will remain inaccessible until the User has acquired tokens from MAPSEC.

1.3 Tokens are strictly personal and may not be resold or transferred without the prior written consent of MAPSEC.

2. Restrictions

2.1 The User is not permitted to copy, modify, translate, decompile, disassemble, reverse engineer or create derivative works of the EQUILOG software.

2.2 The User may not rent, assign, lend, resell, or transfer the software or tokens to a third party, unless expressly authorised by MAPSEC.

2.3 The User may not circumvent, disable or attempt to disable any blocking or access control mechanisms for features that require the purchase of tokens.

3. Feature lock

3.1 The User acknowledges that certain features of the EQUILOG software are intentionally limited or blocked in the free version.

3.2 These functionalities are only accessible after the acquisition and activation of valid tokens from MAPSEC.

3.3 The Publisher reserves the right to change the number of tokens required to access certain features at any time, subject to informing Users.

4. Intellectual Property

4.1 The EQUILOG software, including its source codes, interfaces, logos, databases, and documentation, remains the exclusive property of MAPSEC.

4.2 No provision of this EULA shall transfer any intellectual property rights to the User.

5. Warranty exclusion

5.1 The EQUILOG software is provided «AS IS», without any express or implied warranty.

5.2 MAPSEC does not provide any guarantees, in particular, regarding suitability for a particular purpose, absence of errors, or continuous or uninterrupted operation of the software.

5.3 The User assumes all risks associated with the use of the software, including risks related to the results obtained, data accuracy, and interoperability with other systems.

6. Limitation of Liability

6.1 To the fullest extent permitted by law, MAPSEC shall not be liable for any indirect, special, incidental, or consequential damages (including loss of profits, loss of data, business interruption).

6.2 MAPSEC's maximum liability, in the event of a claim related to the software, is limited to the reimbursement of unused tokens actually paid for by the User.

7. Duration and termination

7.1 This EULA comes into effect upon the User's installation or use of the EQUILOG software and remains valid until terminated.

MAPSEC may automatically terminate this EULA in the event of the User's breach of their obligations, without prejudice to any damages MAPSEC may claim.

7.3 In the event of termination, the User must immediately cease all use of the software and delete all copies in their possession.

8. Applicable law and jurisdiction

8.1 This EULA shall be governed by French law.

8.2 Any dispute relating to the interpretation, execution or validity of this contract shall be submitted to the exclusive jurisdiction of the courts within the jurisdiction of MAPSEC's registered office.

9. General Provisions

9.1 If any provision of this EULA is found to be invalid, the remaining provisions shall remain in full force and effect.

9.2 MAPSEC's failure to exercise a right or remedy provided for in this EULA shall not constitute a waiver of such right or remedy.

 

9.3 This EULA constitutes the entire agreement between MAPSEC and the User concerning the EQUILOG software.
